第一章 總則

    第二條 甲、乙方根據(jù)《中華人民共和國(guó)中外合資經(jīng)營(yíng)企業(yè)法》和中國(guó)的其他有關(guān)法規(guī)，同意在中國(guó)境內(nèi)建立合資經(jīng)營(yíng)_________有限責(zé)任公司（以下簡(jiǎn)稱合營(yíng)公司）。

    4．a(chǎn)ll transactions and activities of joint venture shall be subject to the laws，acts and
regulations concerned of the people’s republic of china．    第五條 合營(yíng)公司的組織形式為有限責(zé)任公司。甲、乙方以各自認(rèn)繳的出資額對(duì)合營(yíng)公司承擔(dān)責(zé)任，對(duì)合營(yíng)企業(yè)超過認(rèn)繳部分的債務(wù)，無(wú)論系分別債務(wù)或連帶債務(wù)，均不承擔(dān)責(zé)任。各方按其出資額在注冊(cè)資本中的比例分享利潤(rùn)和分擔(dān)風(fēng)險(xiǎn)及虧損。
    5．joint venture shall be a limited liability company．party a and party b bear the responsibility of joint venture respectively according to the quota subscribed by each of them，none of the parties shall be responsible for the obligations and liabilities exceeding his/her subscription quota，whether they are joint or several．each party shall share the benefits and risks as well of the joint venture according to his/her contributing share to the registered capital．    第四章 生產(chǎn)經(jīng)營(yíng)目的、范圍和規(guī)模
    chapter four aims，scope and scale of production and business    第六條 甲、乙方合資經(jīng)營(yíng)的目的是：本著加強(qiáng)經(jīng)濟(jì)合作和技術(shù)交流的愿望，采用先進(jìn)而適用的技術(shù)和科學(xué)的經(jīng)營(yíng)管理方法，提高產(chǎn)品質(zhì)量，發(fā)展新產(chǎn)品，并在質(zhì)量、價(jià)格等方面具有國(guó)際市場(chǎng)上的競(jìng)爭(zhēng)能力，提高經(jīng)濟(jì)效益，使投資各方獲得滿意的經(jīng)濟(jì)利益。（注：在具體合同中要根據(jù)具體情況寫。）
    6．a(chǎn)ims of setting up joint venture by party a and party b：for the purpose of improving economic co-operation and technological exchange adopting advanced and practical techniques and introducing scientific management in business，increasing the quality of products，developing new products，meeting competition successfully for price and quality in international markets and raising economic efficiency so as to enable the investors to gain satisfactory benefits．    第七條 合營(yíng)公司生產(chǎn)經(jīng)營(yíng)范圍是：

    對(duì)以上所列的各項(xiàng)目，除現(xiàn)金和土地使用費(fèi)外，其價(jià)格應(yīng)由甲、乙雙方按下述方法進(jìn)行評(píng)議商定：（注：可以采用賬面凈值法或重估價(jià)值法等）

    甲、乙任何一方，若未能按期如數(shù)向本合營(yíng)企業(yè)繳付其出資額，則該違約方應(yīng)向守約方（或合營(yíng)企業(yè)）按下述之方法進(jìn)行賠償（或支付違約金）：
    12．the registered capital shall be contributed by party a and party b respectively according to their own investment shares in_________installments，each installment is _________．
    where any party fails to subscribe in time to joint venture the provided quota，the breaching party shall compensate（or pay damages to）the non-breaching party（or joint venture）in the following way：    第十三條 甲、乙任何一方如向第三者轉(zhuǎn)讓其全部或部分出資額，須經(jīng)另一方同意，并報(bào)審批機(jī)構(gòu)批準(zhǔn)。
    13．a(chǎn)ny assignment of any part or all of his shares to a third person by any party shall be approved of by the other party and ratified by the departments concerned in execution of the contract．    第六章 合營(yíng)各方的責(zé)任
    chapter six responsibiltty    第十四條 甲、乙方應(yīng)各自負(fù)責(zé)完成以下各項(xiàng)事宜：
    14．party a and party b shall be respectively responsible for the following matters：
    甲方責(zé)任：
    辦理為設(shè)立合營(yíng)公司向中國(guó)有關(guān)主管部門申請(qǐng)批準(zhǔn)、登記注冊(cè)、領(lǐng)取營(yíng)業(yè)執(zhí)照等事宜；
    party a：
    applying to the competent chinese department（s）for the establishment of joint venture，having joint venture registered and getting the business license；
    向土地主管部門辦理申請(qǐng)取得土地使用權(quán)的手續(xù)；
    applying to the department controlling the land for the title of land usage；
    組織合營(yíng)公司廠房和其他工程設(shè)施的設(shè)計(jì)、施工；
    being in charge of the design and construction of the factory buildings and other projects and facilities：
    按第十一條和第十二條的規(guī)定提供現(xiàn)金、機(jī)械設(shè)備、廠房……
    supplying joint venture with cash，mechanical equipment，factory buildings，etc．which are provided in article 11 and article 12 of this contract；
    協(xié)助辦理乙方作為出資而提供的機(jī)械設(shè)備的進(jìn)口報(bào)關(guān)手續(xù)和在中國(guó)境內(nèi)的運(yùn)輸；
    assisting party b to go through the customs entry formalities of the mechanical equipment supplied by party b as his shares in joint venture and assisting party b with the transport of such equipment within the boundaries of china；
    協(xié)助合營(yíng)公司在中國(guó)境內(nèi)購(gòu)置或租賃設(shè)備、材料、原料、辦公用具、交通工具、通訊設(shè)施等；
    assisting joint venture to purchase or lease equipment，raw and processed materials，office and transportation appliance，communication facilities，etc．within the boundaries of china；
    協(xié)助合營(yíng)公司聯(lián)系落實(shí)水、電、交通等基礎(chǔ)設(shè)施；
    assisting joint venture to get water supply，electricity，transport services and other necessities required；’
    協(xié)助合營(yíng)公司招聘當(dāng)?shù)氐闹袊?guó)籍的經(jīng)營(yíng)管理人員、技術(shù)人員、工人和所需的其他人員；
    assisting joint venture to employ local chinese management personnel，technicians，
workers and other needed persons：
    協(xié)助外籍工作人員辦理所需的人境簽證、工作許可證和旅行手續(xù)等；
    assisting foreign employees to get entrance visas，work licenses and travel permits，etc．；
    負(fù)責(zé)辦理合營(yíng)公司委托的其他事宜。
    undertaking other matters trusted by joint venture．
    乙方責(zé)任：
    按第十一條和第十二條的規(guī)定提供現(xiàn)金、機(jī)械設(shè)備、工業(yè)產(chǎn)權(quán)……并負(fù)責(zé)將作為出資的機(jī)械設(shè)備等實(shí)物運(yùn)至中國(guó)港口；
    party b：
    supplying joint venture with cash，mechanical equipment，industrial property，etc． provided in article 11 and article 12 hereof and shipping such physical property as mechanical equipment deemed as investment capital to the chinese port；
    辦理合營(yíng)公司委托在中國(guó)境外選購(gòu)機(jī)械設(shè)備、材料等有關(guān)事宜；
    purchasing mechanical equipment，materials，etc．outside china on trust of joint venture；
提供需要的設(shè)備安裝、調(diào)試以及生產(chǎn)技術(shù)人員、生產(chǎn)和檢驗(yàn)技術(shù)人員；
    sending technical personnel for the installation and debugging of needed equipment and trial production and technicians for production and product examination；
    培訓(xùn)合營(yíng)公司的經(jīng)營(yíng)管理人員以及技術(shù)人員和工人及其他人員。
    training managerial and technical personnel，workers and other employees for joint venture；
    如乙方同時(shí)又是技術(shù)轉(zhuǎn)讓方，則應(yīng)負(fù)責(zé)合營(yíng)公司在規(guī)定的期限內(nèi)按設(shè)計(jì)能力穩(wěn)定地生產(chǎn)合格產(chǎn)品；
    where party b is transferor of technology，he shall assure joint venture．to turn out qualified products in accordance with the designed capacity within the period herein provided；
    協(xié)助合營(yíng)企業(yè)工作人員及其他相關(guān)人員辦理進(jìn)人外國(guó)合營(yíng)者所在國(guó)家或地區(qū)的簽證；
    assisting the employees of joint venture, or other relevant personnel to be granted a visa to the state or district where the foreign co-operator resides；
    負(fù)責(zé)辦理合營(yíng)公司委托的其他事宜。
    doing other matters entrusted by joint venture．
    （注：要根據(jù)具體情況寫。）    第七章 技術(shù)轉(zhuǎn)讓
    chapter seven technology transfer    第十五條 甲、乙雙方同意，由合營(yíng)公司與乙方（或第三者）簽訂技術(shù)轉(zhuǎn)讓協(xié)議，以取得為達(dá)到合同第四章規(guī)定的生產(chǎn)經(jīng)營(yíng)目的、規(guī)模所需的先進(jìn)生產(chǎn)技術(shù)，包括產(chǎn)品設(shè)計(jì)、制造工藝、測(cè)試方法、材料配方、質(zhì)量標(biāo)準(zhǔn)、培訓(xùn)人員等（注：要在合同中具體寫明）。
    15．party a and party b agree that joint venture may enter into agreement of assignment of technology with party b（or with a third party）to get the sophisticated techniques in production indispensable for gaining the purposes provided in chapter four of this contract, including product designs，manufacturing skills，inspection methods，directions for producing materials，quality control，personnel training，etc．    第十六條 乙方對(duì)技術(shù)轉(zhuǎn)讓提供如下保證：（注：在乙方負(fù)責(zé)向合營(yíng)公司轉(zhuǎn)讓技術(shù)的合營(yíng)合同才有此條款）
    16．a(chǎn)s for assignment of technology，party b warrants，guarantees，covenants that：
    （1）乙方保證為合營(yíng)公司提供的_________（注：要寫明產(chǎn)品名稱）的設(shè)計(jì)、制造技術(shù)、工藝流程、測(cè)試和檢驗(yàn)等全部技術(shù)是完整的、準(zhǔn)確的、可靠的，是符合合營(yíng)公司經(jīng)營(yíng)目的的要求的，保證能達(dá)到本合同要求的產(chǎn)品質(zhì)量和生產(chǎn)能力；
    a．the design，production skills，technological process，examination and inspection methods,etc of _________ provided by party b must be complete and integrated，accurate，reliable, fit for the requirements of the business of joint venture and keeping of the quality of products and ascertaining of the production capacity herein provided；
    （2）乙方保證本合同和技術(shù)轉(zhuǎn)讓協(xié)議規(guī)定的技術(shù)全部轉(zhuǎn)讓給合營(yíng)公司，保證提供的技術(shù)是德乙方同類技術(shù)中最先進(jìn)的技術(shù)，設(shè)備的選型及性能質(zhì)量是優(yōu)良的，并符合工藝操作和實(shí)際使用的要求；，
    b．party b shall transfer all the technology to joint venture under the terms in this contract and in the agreement of assignment of technology，the technology transferred shall be the most advanced of the same category in party b’s portfolio，the type and function of the equipment shall be good and shall meet the demand of technological process and practical usage；
   （3）乙方對(duì)技術(shù)轉(zhuǎn)讓協(xié)議中規(guī)定的各階段提供的技術(shù)和技術(shù)服務(wù)，應(yīng)開列詳細(xì)清單作為該協(xié)議的附件，并保證實(shí)施；
    c．a(chǎn)s for technology and technical service provided by party b in all stages according to the agreement of assignment of technology，party b shall make out detailed lists as appendices to the agreement to guarantee the enforcement of the agreement；
    （4）圖紙、技術(shù)條件和其他詳細(xì)資料是所轉(zhuǎn)讓的技術(shù)的組成部分，保證如期提交；
    d．diagrams, technical conditions and other minute information are integral parts of the transfer of technology and shall be supplied duly；
    (5)在技術(shù)轉(zhuǎn)讓協(xié)議有效期內(nèi)，乙方對(duì)該項(xiàng)技術(shù)的改進(jìn)，以及改進(jìn)的情報(bào)和技術(shù)資料，應(yīng)及時(shí)提供合營(yíng)公司，不另收費(fèi)用；
    e．a(chǎn)t all time during the term of the agreement of assignment of technology，party b shall report and supply information to joint venture duly with respect to any innovation made by party b in the transferred technology，and no extra fee shall be charged hereof；
    （6）乙方保證在技術(shù)轉(zhuǎn)讓協(xié)議規(guī)定的期限內(nèi)使合營(yíng)公司技術(shù)人員和工人掌握所轉(zhuǎn)讓的技術(shù)。
    f．party b shall ensure the technical personnel and workers in joint venture master transferred techniques within the period provided by the agreement of assignment of technology.    第十七條 如乙方未按本合同及技術(shù)轉(zhuǎn)讓協(xié)議的規(guī)定提供設(shè)備和技術(shù)，或發(fā)現(xiàn)有欺騙或隱瞞之行為，乙方應(yīng)負(fù)責(zé)賠償合營(yíng)公司的直接損失。
    17．where party b fails to provide equipment or techniques under the terms and conditions herein or in the agreement of assignment of technology or is found fraudulent，party shall be liable for the direct losses of joint venture caused hereby．    第十八條 技術(shù)轉(zhuǎn)讓費(fèi)采取提成方式支付。提成率為產(chǎn)品出廠凈銷售額的_________％。提成支付期限以本合同第十九條規(guī)定的技術(shù)轉(zhuǎn)讓協(xié)議期限為期限。
    18．technology transfer fees will be paid by way of deducting a percentage（_________％）from
the net sales income of the products．deducting time shall be the same as allotted in article 19，the
agreement of assignment of technology，of this contract．    第十九條 合營(yíng)公司與乙方簽訂的技術(shù)轉(zhuǎn)讓協(xié)議期限為_________年。技術(shù)轉(zhuǎn)讓協(xié)議期滿后，合營(yíng)公司有權(quán)繼續(xù)使用和研究發(fā)展該引進(jìn)技術(shù)。
    （注：技術(shù)轉(zhuǎn)讓協(xié)議期限一般不超過十年，協(xié)議須經(jīng)對(duì)外經(jīng)濟(jì)貿(mào)易部或其委托的審批機(jī)構(gòu)批準(zhǔn)。）
    19．the term of agreement of assignment of technology made between joint venture

to continue to use and develop the said technology．    第八章 產(chǎn)品的銷售
    chapter eight sales of products    第二十條 合營(yíng)公司的產(chǎn)品，在中國(guó)境內(nèi)外市場(chǎng)上銷售，外銷部分占_________％，內(nèi)銷部分占_________％。
    （注：可根據(jù)實(shí)際情況寫明各個(gè)年度內(nèi)外銷的比例和數(shù)額。一般情況下，外銷量至少應(yīng)能滿足合資公司外匯支出的需要。）
    20．products of joint venture will be sold both in and out of china. those that are to be sold in china will amount to_________％while those to be sold outside of china account for_________ ％．    第二十一條 產(chǎn)品可由下列渠道向國(guó)外銷售：
    21．products will be sold to foreign countries through the following channels：
    由合營(yíng)公司直接向中國(guó)境外銷售的占_________ ％。

    由合營(yíng)公司與中國(guó)外貿(mào)公司訂立的銷售合同，委托其代銷，或由中國(guó)外貿(mào)公司包銷的占_________％。
    those that will be sold by proxy or exclusively by the chinese foreign trade corporation with
which joint venture will make a sales agreement account for _________％；

    those that joint venture will entrust to sell account for_________％．    第二十二條 合營(yíng)公司內(nèi)銷產(chǎn)品可由中國(guó)物資部門，商業(yè)部門包銷或代銷，或由合營(yíng)公司幾直接銷售。
    22．products for domestic market may be sold by proxy or exclusively by chinese commodity departments or commercial departments，or sold directly by joint venture．    第二十三條 為了在中國(guó)境內(nèi)外銷售產(chǎn)品和進(jìn)行銷售后的產(chǎn)品維修服務(wù)，經(jīng)中國(guó)有關(guān)部門批準(zhǔn)，合營(yíng)公司可在中國(guó)境內(nèi)外設(shè)立銷售維修服務(wù)的分支機(jī)構(gòu)。
    23．a(chǎn)pproved by the chinese department concerned，joint venture may set up sales and maintenance and repair services within and outside the boundaries of china to sell products or render after-sale service within and outside the boundaries of china.；    第二十四條 合營(yíng)公司的產(chǎn)品使用商標(biāo)為_________。
    24．the trade mark used for the products of joint venture is _________.    第九章董事會(huì)
    chapter nine board of directors    第二十五條 合營(yíng)公司注冊(cè)登記之日，為合營(yíng)公司董事會(huì)成立之日。
    25．the date of the registry of joint venture is deemed the date of the establishment of the board of directors of joint venture．    第二十六條 董事會(huì)由_________名董事組成，其中甲方委派_________名，乙方委派_________名。董事長(zhǎng)和副董事長(zhǎng)由甲乙兩方協(xié)商確立或由董事會(huì)選舉產(chǎn)生（甲乙雙方一方擔(dān)任董事長(zhǎng)的，由他方擔(dān)任副董事長(zhǎng)）。董事、董事長(zhǎng)和副董事長(zhǎng)任期四年，經(jīng)委派方繼續(xù)委派可以連任。
    26．board of directors is made of _________ directors，of which _________ are appointed by party a and _____ are appointed by party b．chairman of the board is chosen by agreement of the parties or by election of the board of directors（if chairman of the board is chosen from party a while vice chairman shall be chosen from party b）．the chairman，vice chairman and directors are appointed for four years and will be eligible for re-appointment where the appointing party chooses．    第二十七條 董事會(huì)是合營(yíng)公司的最高權(quán)力機(jī)構(gòu)，決定合營(yíng)公司的一切重大事宜，對(duì)于重大問題（注：按中外合資經(jīng)營(yíng)企業(yè)實(shí)施條例第三十六條列舉主要內(nèi)容），應(yīng)一致通過，方可作出決定。對(duì)其他事宜，可采取多數(shù)通過或簡(jiǎn)單多數(shù)通過決定（注：在具體合同中要明確規(guī)定）。
    27．board of directors is the supreme authority of joint venture which is responsible for all important issues．a(chǎn)s for such important issues as…，no decision shall be made unless a unanimous agreement is reached while other matters will be resolved through majority vote or simple majority vote．    第二十八條 董事長(zhǎng)是合營(yíng)公司法定代表。董事長(zhǎng)因故不能履行其職責(zé)時(shí)，可臨時(shí)授權(quán)副董事長(zhǎng)或其他董事為代表。
    28．chairman of board of directors is the legal representative of joint venture．where he/she can not perform his/her duties for some whatever reason，he/she may，for a short time， authorize vice-chairman or any other director to act on behalf of himself/herself．    第二十九條 董事會(huì)會(huì)議每年至少召開一次，由董事長(zhǎng)召集并主持會(huì)議。經(jīng)三分之一以上的董事提議，董事長(zhǎng)可召開董事會(huì)臨時(shí)會(huì)議。會(huì)議記錄應(yīng)歸檔保存。
    29．the general meeting of board of directors shall be held at least once per year and shall be called for and presided over by the chairman of the board of directors．a(chǎn)n extraordinary general meeting may be held upon the proposal of no less than one third of the directors．minutes of the board meeting shall be placed on file．
